Agreement to Terms

These Website Terms of Use (“Terms”) govern your access to and use of the public website operated by Decimal Technologies Private Limited (“Decimal”, “we”, “us” or “our”), including its webpages, publicly available content, product information, publications, case studies and website contact forms (“Website”). These Terms apply exclusively to the public Website. They do not govern access to or use of Decimal's software platforms, cloud solutions, banking applications, subscription services or other products and services provided under separate contractual arrangements. By accessing or using the Website, you agree to comply with these Terms to the extent applicable and enforceable under applicable law.

Where express acceptance is required to establish a binding contractual obligation, Decimal will provide an appropriate acceptance mechanism. If you do not agree to these Terms, you should discontinue use of the Website.

Eligibility and Authority

The Website is intended primarily for business, professional and informational purposes. You must use the Website lawfully and have the legal capacity required for any activity you undertake through it. If you submit an inquiry or other information on behalf of a company or organization, you represent that you are authorized to provide that information and make any representations on its behalf. Access to the public Website does not, by itself, establish that you are authorized to access Decimal's restricted systems, products or services.

Product names, descriptions, illustrations, demonstrations, screenshots and other materials may be updated as Decimal's products and business evolve. Decimal may correct errors, update content or discontinue displaying particular information. We will take reasonable steps to maintain accurate and current Website content, subject to applicable law. Any purchase, license, implementation, hosting, support, subscription or other engagement involving Decimal's products or services will be governed by the applicable separate agreement.

Permitted Use and Acceptable Conduct

You may access and use the Website for lawful informational, professional and business purposes.

You must not:

a. Use the Website in violation of applicable law or the rights of another person;

b. Attempt to obtain unauthorized access to the Website, its hosting environment, restricted resources or related systems;

d. Interfere with the security, integrity, operation or availability of the Website;

e. Circumvent security controls, authentication mechanisms or access restrictions;

Nothing in these Terms prohibits activities that are expressly authorized by Decimal or permitted by applicable law. Decimal may investigate suspected misuse and take reasonable and proportionate steps to protect the Website, its users and its legitimate interests, subject to applicable law.

Intellectual Property Rights

Unless otherwise stated, all intellectual property rights in the Website and its content, including text, graphics, images, videos, illustrations, layouts, designs, publications, logos and other materials, belong to Decimal or its licensors, or are used with permission. All rights not expressly granted are reserved. Subject to applicable law, you may access and use Website content for personal, informational and internal business purposes.

The names “Decimal”, “Vahana”, “Vistaar”, “iPX” and other marks displayed on the Website may be trademarks of Decimal or their respective owners. References to third-party products, brands or trademarks do not necessarily imply endorsement or affiliation.

Contact Forms and Website Submissions

The Website may provide contact forms, demonstration request forms and other communication features. When submitting information through these features, you must ensure, to the best of your knowledge, that the information is accurate and that you are authorized to provide it. You should not submit passwords, payment card details, confidential third-party information or sensitive personal data through general website forms unless expressly requested through an appropriate and secure process.

Submitting an inquiry or demonstration request does not oblige Decimal to provide a demonstration, enter into a business relationship, make an offer or accept a commercial proposal. Unless separately agreed in writing, a website submission does not create a contract for the supply of Decimal's products or services. Personal data submitted through the Website will be handled in accordance with Decimal's Website Privacy Policy.

Limitation of Liability

This section applies only to the public Website and does not replace the liability provisions agreed in a separate customer or commercial agreement.

Governing Law and Jurisdiction

These Terms are governed by the laws of India, subject to any mandatory legal provisions applicable to the relevant visitor that cannot lawfully be excluded. Subject to applicable law, courts of competent jurisdiction in Gurugram (Haryana), India, shall have jurisdiction over disputes arising out of or relating to these Terms or the use of the Website. Nothing in this clause excludes any mandatory statutory rights or remedies, or restricts the jurisdiction of a competent authority where applicable law provides otherwise. These Terms do not impose a separate arbitration obligation merely because a visitor accesses the Website. Any arbitration arrangement must be established through a valid arbitration agreement satisfying the requirements of applicable law.

Changes to These Terms

Decimal may revise these Terms to reflect changes in the Website, its operations, security practices or applicable legal requirements. The revised Terms will be published on the Website with an updated “Last Updated” date. Where a change materially affects visitors' rights or obligations, Decimal will provide additional notice or seek acceptance where required by applicable law. Continued browsing or use of the Website after revised Terms are published will not, by itself, establish acceptance where applicable law requires an affirmative act of acceptance.

General Provisions

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

No Waiver

A failure or delay by Decimal in exercising a right under these Terms does not constitute a waiver of that right.

No Partnership or Agency

Use of the Website does not create a partnership, joint venture, agency, employment or similar relationship between you and Decimal.

Separate Agreements

Where you enter into a separate written agreement with Decimal for products, software, platforms, services or other commercial arrangements, that agreement will govern its subject matter. These Website Terms do not amend, replace or override any separate agreement.

Entire Agreement for Website Use

These Terms govern the use of the public Website and should be read together with the Website Privacy Policy and any applicable cookie notice. They do not constitute the entire agreement for any product or service governed by a separate contract.

Mandatory Rights

Nothing in these Terms excludes or restricts any rights or remedies that cannot lawfully be excluded or restricted under applicable law.
