1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Decimal Technologies Private Limited ("Decimal", "we", "us", or "our") governing your access to and use of our website, platform, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms. Our Services are designed for business use by financial institutions, fintechs, and their authorized representatives. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Services Description

Decimal provides an AI-driven banking infrastructure platform that includes, but is not limited to:

• AI Decisioning Engine for credit and risk assessment

• Journey Orchestration for digital banking workflows

• Integration Hub (Vahana Hub) for third-party API management

• Document Processing for intelligent document extraction

• Policy Management Centre for governance and compliance

• Observability and analytics dashboards

• Products including iPX, Vistaar, and Vahana Cloud

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

4. Account and Access

• You are responsible for maintaining the confidentiality of your account credentials

• You agree to notify us immediately of any unauthorized use of your account

• You are responsible for all activities that occur under your account

• We reserve the right to suspend or terminate accounts that violate these Terms

• Access to certain features may require a separate subscription or enterprise agreement

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or industry standards

• Infringe upon intellectual property rights of Decimal or third parties

• Transmit malicious code, viruses, or harmful content

• Attempt to gain unauthorized access to our systems or networks

• Reverse engineer, decompile, or disassemble any part of the platform

• Use the Services for any purpose that is fraudulent, deceptive, or harmful

• Resell, sublicense, or redistribute the Services without prior written consent

• Interfere with or disrupt the integrity or performance of the Services

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, AI models, documentation, trademarks, logos, and content, are owned by Decimal Technologies or its licensors.

• No rights are granted except as expressly set forth in these Terms or a separate agreement

• You retain ownership of data you input into the platform ("Client Data")

• You grant Decimal a limited license to process Client Data solely to provide the Services

• "Decimal", "Vahana", "Vistaar", "iPX", and associated logos are trademarks of Decimal Technologies

7. Client Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

• You are responsible for ensuring that Client Data complies with applicable laws

• You represent that you have obtained all necessary consents for data processing

• We implement industry-standard security measures to protect Client Data

• We do not access Client Data except as necessary to provide the Services or as required by law

8. Service Level and Availability

We strive to maintain high availability of our Services. Specific uptime commitments, support response times, and performance guarantees are governed by individual Service Level Agreements (SLAs) entered into with enterprise clients.

We may perform scheduled maintenance with prior notice. We are not liable for temporary unavailability due to maintenance, force majeure, or circumstances beyond our reasonable control.

9. Payment Terms

For paid Services:

• Fees are as set forth in the applicable order form or subscription agreement

• All fees are non-refundable unless otherwise stated in writing

• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law

• We reserve the right to suspend Services for accounts with overdue payments

• Taxes are the responsibility of the User unless otherwise specified

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for the purposes of these Terms. Confidential information does not include information that is:

• Publicly available through no fault of the receiving party

• Independently developed without reference to confidential information

• Rightfully received from a third party without restriction

• Required to be disclosed by law or regulation

11. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECIMAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. AI-generated outputs, including credit decisions and risk assessments, are advisory in nature and should be validated by qualified professionals.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Decimal's total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim

• Decimal shall not be liable for indirect, incidental, consequential, special, or punitive damages

• Decimal shall not be liable for lost profits, data loss, business interruption, or reputational harm

• These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise)

13. Indemnification

You agree to indemnify, defend, and hold harmless Decimal and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of:

• Your use of the Services in violation of these Terms

• Your violation of any applicable law or regulation

• Your Client Data or use within the platform

• Any third-party claims arising from your use of the Services

14. Termination

• Either party may terminate these Terms with 30 days' written notice

• We may terminate immediately for material breach, including non-payment or violation of acceptable use

• Upon termination, your right to access the Services ceases immediately

• We will provide a reasonable period (typically 30 days) for you to export your Client Data

• Provisions that by their nature should survive termination (including confidentiality, limitation of liability, and indemnification) shall survive

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

Before initiating formal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.

16. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform with at least 30 days' notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Decimal

• Severability: If any provision is found unenforceable, the remaining provisions remain in full force

• Waiver: Failure to enforce any provision does not constitute a waiver of that provision

• Assignment: You may not assign these Terms without prior written consent

• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control
